1. Object. The Seller and the Purchaser respectively sell and purchase the products described in the offer according to the following terms and conditions:

2. Validity. All orders are accepted and carried out solely pursuant to the terms and conditions described hereafter. Different terms and conditions set by the Purchaser have no validity.

3. Samples. The samples and illustrations of materials are provided for information purposes only and are not binding in any way.

4. Offers. Offers are provided for information purposes only and are not binding in any way. Further verbal or over the phone agreements are valid only if confirmed in writing by the Seller. Our generic price lists may be subject to change without prior notice.

5. Delivery. All deliveries are carried out ex warehouse in Rivoli Veronese (Verona) and the risks associated with delivery are the responsibility of the Purchaser.

6. Terms of Delivery. The Seller will usually meet the delivery schedule indicated in the offer. However, the delivery schedule is not binding and represents the Seller’s estimates only. The terms of delivery become effective once all necessary documentation has been received.

7. Payments. Our invoices are to be paid as on the order confirmation and invoice, without detractions for discounts or bank expenses. Invoices not paid on their due date will be subject to carrying charges of 5 %, which will be added to the unpaid balance without further notice. All payments should be made directly to the Seller and in the currency indicated on the invoice.

8. Ownership of Property. Until payment is made in full, the Seller remains the owner of the merchandise delivered.

9. Claims. The merchandise must be immediately inspected upon arrival. Claims made after the resale, processing or laying of our merchandise cannot be taken into consideration. Any claim will have to be sent in writing within eight days of the receipt of the merchandise; otherwise the merchandise will be considered as accepted. Possible claims do not modify the agreed-upon conditions of payment.

10. Competent Court of Jurisdiction. The only Competent Court of Jurisdiction for any controversy relating to the contract is the Court of Jurisdiction of Verona, except where otherwise stated.
